Junior Legal Counsel — OHADA Corporate Law

Up to three years' experience in OHADA company law. Corporate secretarial work, incorporations, contracts. Excellent drafting in French; professional English.

Applications close 8 September 2026.

Responsibilities

  • Handle, from opening to closing, the incorporation of companies (SARL, SA, SAS, branches) and their registration with CEPICI and the RCCM, including the drafting of articles of association and founders' declarations.
  • Provide ongoing corporate secretarial work for a portfolio of client companies: convening and minuting shareholder and board meetings, maintaining statutory registers, and preparing the annual filings the Uniform Acts require.
  • Draft and review commercial contracts and shareholders' agreements — distribution, agency, supply and partnership arrangements — under partner supervision, with particular attention to governing-law and dispute-resolution clauses.
  • Conduct preliminary legal research on points of OHADA and national company law, and prepare structured, properly sourced memoranda for partner review.
  • Assist with legal and corporate due diligence on transactions handled by the Transactions & Advisory pole, including document-room review and red-flag reporting.
  • Liaise directly with the RCCM registry, notaries and CEPICI case officers to keep client filings moving and to anticipate administrative bottlenecks.
  • Maintain the firm's corporate-matter tracking system so that partners have real-time visibility on every open filing and deadline.

Profile

  • Master's degree in business law (Master 2 Droit des affaires or equivalent), ideally with an OHADA-law specialisation.
  • Zero to three years' relevant experience; a substantial internship in a business-law firm or a corporate legal department qualifies fully.
  • Excellent legal drafting in French, with a register that reads as precise rather than merely correct; working professional English sufficient to review a contract or brief a foreign client.
  • A demonstrated interest in the seventeen national variations that sit beneath the uniform OHADA framework — this is not a one-jurisdiction practice.
  • Rigour with deadlines and administrative process: RCCM and CEPICI filings reward precision and punish improvisation in equal measure.
  • Comfort working directly with clients from the outset, under partner supervision, rather than solely producing internal drafts.
  • Discretion befitting a firm bound by strict professional secrecy, and a collaborative disposition suited to a human-scale team.
